These Website Terms of Use and Sale (“Terms”) govern your access to and use of the RA Cycles website, including any related pages, checkout facilities, communications, products and services made available through it.

This website is operated by RA Cycles (“RA Cycles”, “we”, “us”, “our”). By accessing or using our website, creating an account, placing an order, or purchasing any product or service from us, you agree to be bound by these Terms, together with our Privacy Policy, Returns and Refunds Policy, Shipping and Delivery Policy, and any other policies referenced on our website.

If you do not agree to these Terms, you must not use this website.

Our online store is hosted on Shopify, which provides the e-commerce platform we use to sell our products and services.

The information on this website is provided for general information and shopping purposes. We try to ensure that website content, product descriptions, pricing and availability are accurate, but errors, delays and omissions may occur.

Images are for illustrative purposes. Actual colours, finishes and specifications may vary depending on supplier changes, manufacturing tolerances and your device display.

Nothing on this website constitutes professional, technical or legal advice unless expressly stated.

4. Changes to the website, products and prices

We may update, change, suspend or withdraw any part of the website, product listings, specifications, promotions, services or content at any time.

Prices and availability are subject to change before checkout is completed. A displayed price does not create a binding obligation on us until your order has been accepted as described below.

5. Orders and contract formation

When you place an order through our website, you are making an offer to purchase the selected product(s) or service(s), subject to these Terms.

An order is only accepted when we send you written confirmation that your order has been accepted or dispatched, or when we otherwise clearly indicate acceptance. We may refuse or cancel an order before acceptance for lawful reasons, including:

  • product unavailability;
  • pricing or description errors;
  • suspected fraud or unauthorised payment;
  • incorrect customer information;
  • suspected resale, bulk buying, dealer activity or abuse of promotions; or
  • inability to fulfil the order at the stated address or within reasonable operational limits.

If we cancel an order after payment has been received, we will refund you in accordance with applicable law and our Returns and Refunds Policy.

6. Payment

We accept payment methods shown at checkout. Payment must be received in full before goods are dispatched, unless we expressly agree otherwise.

You authorise us and our payment service providers to validate and process payments, and to perform reasonable anti-fraud checks. Card and payment information is processed through secure third-party payment providers and is not stored by us except to the extent necessary for transaction administration and as permitted by law.

7. Product availability and stock

All products are subject to availability. Stock shown online may not always reflect real-time availability, and items may sell out before order acceptance.

We reserve the right to limit quantities per customer, household, account or order.

8. Delivery and collection

Delivery times shown on the website are estimates only and are not guaranteed unless we expressly agree otherwise in writing.

Risk in goods passes to you on delivery to the address you provided, or on collection by you or your nominated representative. Ownership in goods passes to you once we have received full payment in cleared funds.

You are responsible for ensuring that the delivery address and contact details supplied are correct and that someone authorised is available to receive the order, where required.

9. Pricing errors

Despite our efforts, some products may be incorrectly priced or described. If we discover an obvious pricing or listing error before accepting your order, we may reject or cancel the order and refund any amount paid.

10. Returns, refunds, exchanges and statutory rights

Your rights to return goods, obtain repairs, replacements or refunds are governed by applicable South African law and our Returns and Refunds Policy.

Nothing in these Terms limits any rights you may have under the Consumer Protection Act or any other law that cannot lawfully be excluded. The CPA applies broadly to consumer transactions in South Africa, and ECTA also provides a 7-day cooling-off right for many online transactions, subject to its scope and exceptions.

Without limiting your statutory rights:

  • if goods are defective, unsafe, or not of the quality ordinarily expected, you may have rights under applicable law;
  • if a valid return is accepted, refunds will be processed to the original payment method where reasonably possible;
  • special-order, custom-built, used, clearance, hygiene-sensitive or specially excluded items may be subject to specific return restrictions, to the extent permitted by law.

11. Cooling-off rights for online transactions

Where applicable under South African law, you may be entitled to cancel certain electronic transactions without reason and without penalty within the legally prescribed period, subject to any statutory exclusions and subject to you paying the direct cost of returning goods where the law permits this. ECTA includes a 7-day cooling-off period for many qualifying electronic transactions.

Because cooling-off rights can depend on the nature of the goods, the transaction, and any applicable statutory exceptions, our Returns and Refunds Policy should explain how we administer these rights in practice.

12. Accounts and customer information

If you create an account, you are responsible for maintaining the confidentiality of your login details and for all activity under your account.

You agree to provide current, complete and accurate information and to update it when necessary so that we can process your orders and contact you when needed.

We may suspend or close an account if we reasonably believe it is being used unlawfully, fraudulently, abusively or in breach of these Terms.

13. Promotions, vouchers and discount codes

Promotions, vouchers, coupon codes and special offers are subject to their own terms and validity periods. Unless expressly stated otherwise:

  • they may not be combined;
  • they are not transferable or redeemable for cash; and
  • we may cancel or refuse them where misuse, duplication, fraud, technical error or breach of terms is suspected.

14. Acceptable use of the website

You may not use this website:

  • for any unlawful, fraudulent or unauthorised purpose;
  • to infringe our rights or the rights of any third party;
  • to upload or transmit malicious code, viruses or harmful material;
  • to interfere with the website’s security, functionality or integrity;
  • to scrape, harvest, spider, crawl or collect data without our prior written consent, except to the extent allowed by law;
  • to submit false, misleading or defamatory content; or
  • in any way that could damage our systems, brand or customers.

We may suspend or terminate your access if you breach these Terms.

If you submit reviews, comments, suggestions, ideas, images or other content to us:

  • you confirm that you have the right to submit that content;
  • you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, publish, display, adapt and distribute it for our business purposes; and
  • you confirm that the content is lawful, accurate and does not infringe any third-party rights.

We may remove or refuse to publish submissions that are unlawful, misleading, abusive, defamatory, obscene, infringing or otherwise inappropriate.

All content on this website, including text, graphics, logos, product listings, website layout, software, images, and other materials, is owned by or licensed to RA Cycles and is protected by applicable intellectual property laws.

You may use the website and its content only for personal, lawful, non-commercial shopping purposes. You may not copy, reproduce, distribute, modify, reverse engineer, exploit or create derivative works from any part of the website without our prior written consent, except as permitted by law.

17. Third-party services and links

This website may contain links to third-party websites, apps, plug-ins or tools, including payment gateways, social media features, financing partners, mapping services or analytics services.

We do not control and are not responsible for third-party content, products, services, privacy practices or website availability. Your use of third-party services is at your own risk and may be subject to separate third-party terms and privacy policies.

18. Privacy and personal information

We process personal information in accordance with applicable data protection laws, including POPIA, and as described in our Privacy Policy. POPIA is administered and enforced by the Information Regulator.

By using our website or providing us with personal information, you acknowledge that:

  • we may collect, use, store and share your personal information as reasonably necessary to provide our products and services, operate the website, process orders, detect fraud, comply with legal obligations and communicate with you;
  • some processing may be carried out by third-party operators or service providers, including Shopify, payment processors, couriers, IT service providers and customer-support platforms; and
  • where we send marketing communications, we will do so in accordance with applicable law and any consent or opt-out requirements that apply.

The Information Regulator has also published guidance on direct marketing under POPIA. 

20. Disclaimer

To the maximum extent permitted by law:

  • the website and all content are provided “as is” and “as available”;
  • we do not guarantee uninterrupted, error-free or secure access at all times;
  • we do not warrant that the website will always be free from bugs, viruses or harmful components; and
  • product information is provided in good faith but may change without notice.

Nothing in these Terms excludes any warranty, condition or representation that cannot lawfully be excluded under South African law.

21. Limitation of liability

To the maximum extent permitted by law, RA Cycles will not be liable for any indirect, incidental, special, consequential or punitive loss or damage, including loss of profit, loss of revenue, loss of data, loss of opportunity or business interruption, arising from or connected with your use of the website or purchase of goods or services from us.

Our total liability for any claim arising from a specific order or transaction will, to the extent permitted by law, not exceed the amount paid by you for the relevant product or service.

Nothing in these Terms limits or excludes liability for:

  • death or personal injury caused by negligence where liability cannot lawfully be excluded;
  • fraud or fraudulent misrepresentation; or
  • any consumer rights or remedies that cannot lawfully be limited or excluded under applicable law.

22. Indemnity

You agree to indemnify and hold harmless RA Cycles, its directors, officers, employees, agents, contractors and service providers from and against claims, losses, damages, liabilities, costs and expenses arising from:

  • your breach of these Terms;
  • your misuse of the website; or
  • your violation of any law or the rights of any third party.

This clause applies only to the extent permitted by law.

23. Suspension and termination

We may suspend, restrict or terminate your access to the website or cancel any account if:

  • you breach these Terms;
  • we reasonably suspect fraud, unlawful conduct or misuse; or
  • we are required to do so for operational, legal or security reasons.

Termination does not affect rights and obligations accrued before termination.

24. Governing law and jurisdiction

These Terms are governed by the laws of the Republic of South Africa.

Any dispute arising from or relating to these Terms or your use of the website will be subject to the jurisdiction of the South African courts, unless applicable law requires otherwise.

We may amend these Terms from time to time by publishing the updated version on our website. The version displayed on the website at the time of your use or purchase will apply to that use or purchase, unless the law requires otherwise.
